Terms of Service

These Terms of Service (“Terms”) govern your use of the Innovatic desktop application (the “App”) and website at innovatic.ai (the “Website”), provided by Innovatic (“we”, “our”, or “us”). By downloading, installing, or using Innovatic, you agree to these Terms.

1. Acceptance of Terms

By accessing or using Innovatic, you confirm that you are at least 13 years old and agree to be bound by these Terms. If you do not agree, do not use the App or Website.

2. Description of Service

Innovatic is a desktop IDE for orchestrating multiple AI coding agents in parallel. The App runs locally on your device and connects to third-party AI services (currently Anthropic's Claude) using API keys that you provide.

Innovatic is provided free of charge. We reserve the right to introduce paid features or plans in the future, with prior notice.

3. Your Responsibilities

3.1 API Keys & Third-Party Services

• You are responsible for obtaining and managing your own API keys from Anthropic or other supported AI providers.
• You must comply with the terms of service of any third-party API provider you use through Innovatic.
• You are responsible for any costs incurred through your API usage. Innovatic does not control or limit your API spending.

3.2 Acceptable Use

You agree not to:

• Use Innovatic to generate malicious code, malware, or any software intended to cause harm
• Attempt to reverse-engineer, decompile, or disassemble the App beyond what applicable law permits
• Redistribute, sublicense, or resell the App
• Use the App in violation of any applicable laws or regulations
• Misrepresent your identity or impersonate others while using the App

3.3 Your Code & Projects

You retain full ownership of all code, files, and projects you create or work on using Innovatic. We claim no rights over your work product.

4. Intellectual Property

• The App — Innovatic, including its source code, design, branding, and documentation, is the intellectual property of Innovatic and is protected by copyright and other intellectual property laws.
• Your Content — All code, files, and data you create remain your property. Innovatic does not claim any ownership or license over your content.
• AI-Generated Code — Code generated by AI agents through Innovatic is subject to the terms of the AI provider (Anthropic). Please review their terms regarding AI-generated content ownership.

5. Availability & Platform Support

Innovatic is currently available for macOS (Apple Silicon). Support for Windows and Linux is planned but not guaranteed. We reserve the right to modify, suspend, or discontinue any version of the App at any time.

We do not guarantee that the App will be available at all times or that it will be free from errors or interruptions. We will make reasonable efforts to address issues and improve the App over time.

6. Updates

We may release updates to the App from time to time. Updates may include bug fixes, new features, or security patches. While we recommend keeping the App updated, you are not required to install updates. Certain features may require a minimum version to function properly.

7. Disclaimer of Warranties

Innovatic is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• Code generated by AI agents will be correct, secure, or fit for any particular purpose
• Any defects in the App will be corrected

You are solely responsible for reviewing, testing, and validating all code generated by AI agents before using it in production. AI-generated code may contain bugs, security vulnerabilities, or other issues.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Innovatic and its creators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data, revenue, or profits
• Business interruption
• Damages resulting from AI-generated code
• Costs associated with third-party API usage
• Security breaches resulting from generated code

Our total liability for any claim arising from your use of Innovatic shall not exceed the amount you have paid us in the twelve (12) months preceding the claim (which, given the App is free, is zero).

9. Indemnification

You agree to indemnify and hold harmless Innovatic and its creators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third party's rights.

10. Termination

You may stop using Innovatic at any time by uninstalling the App. We reserve the right to terminate or restrict access to the App if you violate these Terms. Upon termination, your right to use the App ceases, but your data remains on your device.

11. Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of France.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by updating the “Last updated” date at the top of this page. Your continued use of Innovatic after changes are posted constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
